Agreement to Terms
By accessing or using tnaado.ca or any platform under our control (“the Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site.
TNAADO Inc. (“TNAADO”, “we”, “us”, or “our”), a corporation organized under the laws of Ontario, Canada, publishes the Site. These Terms govern your use of the Site (“you” or “your”) and constitute a legally binding agreement.
Client services offered by the firm are contracted separately at service.tnaado.ca and are governed by their own agreements, not by these Terms.
The Site
TNAADO is a media firm based in Toronto. The Site carries:
- The Dispatch, articles covering business and technology.
- The Show, filmed coverage of the operators and founders building the city.
- Apps, coverage of the software our sister company, TNAADO Labs Inc., ships.
Content on the Site is published for information. It may be revised, corrected, or removed without notice.
Client Services
The Site sells nothing and takes no payment.
Where the firm is engaged for client work, that work is offered, contracted, and billed separately at service.tnaado.ca, under its own terms. Nothing on the Site forms part of any such contract, and no engagement is created by using the Site.
Acceptable Use
When using the Site, you agree to:
- Provide accurate information in anything you submit to us.
- Use the Site in compliance with all applicable laws and regulations.
- Refrain from scraping, harvesting, or republishing our content at scale without written permission.
- Refrain from interfering with the operation or security of the Site.
- Refrain from misrepresenting an affiliation with TNAADO.
Intellectual Property
5.1 Our Content
The articles, video, images, code, and design published on the Site belong to TNAADO or its licensors. You may read, link to, and quote our work with attribution. Republication at scale or commercial reuse requires our written permission.
5.2 Your Submissions
You retain ownership of material you send us. By submitting it, you grant TNAADO a licence to review it and, where you offer it for publication or agree to publication, to use it in our coverage.
5.3 Marks
“TNAADO” and the TNAADO mark are trade names of TNAADO Inc. and may not be used without written permission.
5.4 Third-Party Materials
Third-party marks and materials referenced on the Site belong to their respective owners and are used for identification or under licence. You are responsible for holding the rights to any third-party material you submit to us.
Submissions & Tips
Notes sent through the Site are read by the team and are not shared outside the firm, except with the providers who run our systems or where the law compels disclosure. If you are a source and need protection, say so in your first message. We take source protection seriously.
Unsolicited ideas and pitches are not confidential. We may already be working on something similar, and receiving your material creates no obligation. TNAADO maintains commercially reasonable safeguards to protect what you send us; no system is impenetrable, and TNAADO is not liable for unauthorized access arising from circumstances beyond our reasonable control.
Warranties & Disclaimers
7.1 Accuracy
We work to keep our reporting accurate, and we correct material errors when we find them or when you point them out. We do not warrant that the Site or its content is error-free, complete, or current.
7.2 No Advice
NOTHING ON THE SITE IS LEGAL, TAX, ACCOUNTING, FINANCIAL, OR INVESTMENT ADVICE. DECISIONS YOU MAKE ON THE BASIS OF OUR COVERAGE ARE YOURS.
To the maximum extent permitted by law, the Site and its content are provided “as is” and TNAADO disclaims all implied warranties, including those of merchantability and fitness for a particular purpose.
Limitation of Liability
To the maximum extent permitted by law, TNAADO is not liable for any loss arising from your use of, or reliance on, the Site or its content.
In no event shall TNAADO be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of their possibility.
Access & Termination
You may stop using the Site at any time.
We may suspend or restrict access to the Site, or any part of it, at any time and without notice, including for abuse, unlawful conduct, or interference with its operation.
Provisions that by their nature should survive — intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — survive any termination of access.
Indemnification
You shall indemnify and hold harmless TNAADO and its directors, officers, employees, and contractors from and against any claim, loss, damage, or expense (including reasonable legal fees) arising from:
- Your use or misuse of the Site;
- Your breach of these Terms or any applicable law;
- Materials or content you submit to us; and
- Any infringement by you of a third party’s rights.
Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
11.2 Forum
The parties attorn to the exclusive jurisdiction of the courts of Ontario sitting in the City of Toronto for any dispute arising out of or related to these Terms or your use of the Site.
11.3 Negotiation First
Before commencing any proceeding, the parties shall first attempt in good faith to resolve the dispute through direct negotiation between senior representatives.
Changes to Terms
TNAADO may update these Terms from time to time. Material changes will be communicated by notice on this page. Continued use of the Site after the effective date of an update constitutes acceptance of the modified Terms.
General Provisions
13.1 Entire Agreement
These Terms constitute the entire agreement between you and TNAADO regarding the Site and supersede all prior understandings on that subject.
13.2 Severability
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
13.3 Assignment
You may not assign your rights or obligations under these Terms without TNAADO’s prior written consent. TNAADO may assign to an affiliate or successor in connection with a corporate reorganization.
13.4 Force Majeure
Neither party is liable for failure or delay in performance caused by circumstances beyond reasonable control, including acts of nature, war, pandemic, civil disturbance, or governmental action.
13.5 Survival
The provisions concerning intellectual property, submissions, warranties and disclaimers, limitation of liability, indemnification, dispute resolution, and these general provisions survive termination.
